Software Maintenance Agreement
Software Maintenance Agreements are available for RepliGo Server
purchases. Details on Coverage, Benefits, Pricing and Terms and
Conditions are presented below. The initial maintenance agreement
must be purchased no later than 30 days after the purchase of the
product.

| Pricing |
| The annual maintenance fee is 20% of the cumulative value of all
licenses purchased to date. If additional licenses are purchased,
this 20% fee is mandatory and will be pro-rated to your renewal date.
You may be required to pay an additional fee if you purchase a maintenance
agreement after 30 days, or if your maintenance services lapse and
are subsequently resumed. |
| Terms and Conditions |
| The coverage period for Software Maintenance is provided in increments
of one (1) calendar year. Your renewal date is exactly one year from
the time you purchase RepliGo Server. Unless the Agreement has been
cancelled, a renewal form will be sent to the primary contact of
your company. If a response is not received within 30 days, the agreement
will be considered cancelled. Renewal amounts will be based on the
prevailing suggested retail price. |
| Cancellation |
| The maintenance agreement can be cancelled at any time in writing
by e-mail, fax or letter. In case of cancellation, Cerience will
not prorate or issue any refunds for any unused time on this
agreement. There are no grace periods for cancellations. |
